My spider is upside down - is it dead ?

Your spider is definitely not dead. Tarantula's always die the right way up, with their legs curled under them.

 

No - it's moulting. Do not move, poke, or otherwise disturb it. Leave it alone, and then quietly check on its progress every half hour until your new spider emerges.
